Master Service Agreement

1. ACCEPTANCE OF TERMS

By creating an account and using the Solwees.ai platform ('Service'), you ('Client') agree to be bound by this Agreement.

This Agreement is between the Client and SMYADGT LTD ('Company', 'Solwees').

2. SERVICE DESCRIPTION

Solwees.ai provides an AI-powered automation middleware platform for hospitality and beauty industries, including booking management and WhatsApp API integrations.

3. SUBSCRIPTION & REFUNDS

Access is subject to fees.

All charges are non-refundable except for confirmed double-billing, technical failures (Service down >24h), or as required by law.

4. SLA & SUPPORT ESCALATION

Solwees guarantees 99.9% Uptime.

Response times (business hours): Enterprise (1h), Others (2-4h).

Enterprise clients may request a dedicated escalation contact (Slack/Phone) for urgent incidents.

5. AI LIMITATIONS

Service uses LLMs.

AI may produce incorrect info.

Client must monitor the dashboard.

Solwees is not liable for AI-driven booking errors.

6. IP OWNERSHIP & CUSTOM DEV

All Service IP remains with Solwees.

Custom developments or integrations specifically commissioned and paid for by the Client shall be governed by a separate agreement regarding IP rights.

7. DATA SECURITY & RESIDENCY

Security aligned with SOC 2/ISO 27001.

Personal data is stored within the EEA unless otherwise agreed in writing.

Use implies acceptance of the DPA at solwees.ai/dpa.

8. AUDIT RIGHTS

Solwees will provide a summary of its most recent security audit (SOC 2/ISO 27001) once per year upon written request and signed NDA.

9. INCIDENT MANAGEMENT

Solwees will notify the Client of confirmed data breaches affecting Client data within 72 hours.

10. DATA EXPORT & DELETION

Solwees retains data for 60 days post-termination.

Solwees provides up to 5 GB of data export free of charge.

Beyond this, a fee of 50 EUR per hour of technical work applies.

Immediate deletion may be requested at any time.

11. ACCEPTABLE USE POLICY (AUP)

Client must follow the AUP (solwees.ai/aup).

Prohibited: spam, illegal content, violating Meta policies.

Violation leads to immediate termination without notice.

12. LIMITATION OF LIABILITY

Liability is limited to fees paid in the 6 months preceding the claim.

Nothing limits liability for gross negligence, willful misconduct, or matters that cannot be excluded by law.

13. FORCE MAJEURE

Neither party is liable for delays beyond reasonable control.

If a Force Majeure event exceeds 30 consecutive days, either party may terminate this Agreement immediately.

14. AMENDMENTS

Solwees may update terms with 30-day notice.

For Enterprise clients, material changes to this Agreement require mutual written consent.

15. ASSIGNMENT & TRANSFER

Client may not transfer rights without consent, except in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee agrees to these terms.

16. TERMINATION FOR BREACH

Solwees may terminate this Agreement with immediate effect in the event of a material breach, including AUP violations or unauthorized Service access.

17. GOVERNING LAW

Governed by the laws of Estonia.

Disputes subject to exclusive jurisdiction of courts in Tallinn, Estonia.
